Position Description

The Tax Advisory Manager provides strategic leadership in specialized tax planning and advisory initiatives, with a focus on complex M&A and private equity transactions, including entity acquisitions and disposition. This role involves advanced tax law analysis and interpretation, oversight of transaction modeling and cross-functional collaboration. The candidate is responsible for proactively monitoring tax legislative developments, identifying tax-efficient restructuring opportunities, advising stakeholders, and ensuring compliance with tax laws. 

The Tax Advisory Manager plays a critical role in managing projects, mentoring team members, and driving innovation in tax strategies and processes. In addition, the candidate will support broader tax planning initiatives associated with current portfolio and holding companies.
 

Responsibilities

  • Provide strategic leadership on M&A and private equity transactions, tax structuring, and tax-efficient planning initiatives.
  • Ability to manage multiple priorities and lead cross-functional projects in a fast-paced environment.
  • Mentor and train tax professionals, supporting their technical and leadership development.
  • Review transaction documents to identify planning opportunities and ensure transactional compliance. 
  • Manage tax scenario modeling and provide alternatives scenarios/structures.
  • Collaborate closely with Corporate Development and other departments to evaluate business impacts and quantify potential tax savings. 
  • Monitor relevant tax law developments and summarize implications for internal stakeholders. 
  • Develop and present innovative tax planning strategies to senior leadership.
  • Maintain strong working relationships with internal teams and external advisors to ensure effective execution of tax initiatives.
  • Secondary review of federal and state tax returns for partnership and/or corporate entities.
  • Participate in internal committees. 
  • Assist with onboarding and the integration of new hires.

Qualifications

  • Bachelor’s degree in accounting or related field; MST or advanced degree, or desire to pursue such degree.
  • CPA license or JD.
  • At least 10 years of progressive experience in corporate or partnership tax advisory roles in M&A and private equity environments.
  • Strong knowledge of federal tax laws, entity structuring, and compliance in M&A and private equity transactions.
  • Have a working knowledge of other areas of tax laws such as Trust and Individual taxation.
  • Ability to analyze and make recommendations regarding transactional documents (e.g., stock purchase agreements, sale and purchase of assets agreements, and operating agreements, etc.).
  • Strong communication skills, including the ability to present technical issues clearly to non-tax professionals.
  • Proven ability to lead and mentor staff and foster a collaborative environment.
  • Strong analytical, research and modeling skills.
  • Skilled in tax research software and Microsoft products.
